Sales Terms and Conditions


This agreement contains the terms and conditions that apply to orders for products which you (the "Customer") purchase from Myriad. By accepting delivery of the products described on the invoice, the Customer agrees to be bound by and accepts these terms and conditions. These terms and conditions are subject to change without prior written notice at any time at Myriad's sole discretion.

Order conditions / Payment modes

You can purchase items directly from Myriad or use a secured credit card payment processing service. This secured credit card service is provided by the Banque Courtois, Crédit du Nord group (ATOS/SIPS system).
It accepts several international credit cards :
On-line payment on the Internet is performed using an SSL secured transaction. Data recorded by the payment system are considered as unique proof of purchase.

Exchanges, return and cancellation

According to article L121-20-2 of French law, the Customer can return the ordered goods at his own cost, in their original condition and carefully packed within seven days after the goods have been delivered. In such cases, the product will be refunded.

This DOES NOT APPLY TO LICENSES AND DOWNLOADED FILES. SOFTWARE FEES ARE NON-REFUNDABLE.

Security and Privacy

Your credit card and other details are NOT stored on the Myriad site. Shopping by credit card on the Myriad site is safe, no one has ever been defrauded shopping from this site. Your details are for our use only. We NEVER disclose your details to third parties for their own use.
In no event does Myriad have access to confidential information from the Customer's credit card.
Delivery

Except when temporarily unavailable, products are shipped within two working days, via regular postal delivery or any other service.
Actual delivery time depends, among other factors, on the Customer's address.
If the ordered item is a personal license and the Customer provided his e-mail address when ordering, the personal license will be sent by e-mail.

Prices / Shipping and handling costs

All prices are expressed in euros, and include VAT where applicable. If by mistake, we have under-priced an item, we will not be liable to supply that item to you at the stated price, provided we notify you before we dispatch the item concerned. You will then be able to cancel your order.
Our prices include shipping and handling worldwide.

Any Customer not residing in France is considered as an importer. Toll, local taxes or any other extra fees are therefore not included in the ordering price. We suggest that before ordering items from Myriad, foreign customers should make enquiries about any payments or declarations that they are required to make.
Liability

MYRIAD SHALL IN NO EVENT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL OR CONTINGENT DAMAGES WHATSOEVER, WHETHER ARISING OUT OF BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR OTHER THEORIES OF LAW, WITH RESPECT TO PRODUCTS SOLD BY MYRIAD, OR ANY UNDERTAKINGS, ACTS OR OMISSIONS RELATING THERETO.

Myriad products comply with French law. In case of use outside French territory, the Customer is responsible for ensuring that Myriad products do not infringe any local law.

Force majeure

Myriad  shall not be liable for any damage as a result of any delay or failure to deliver due to any cause beyond the Seller’s reasonable control, including, without limitation, act of the Buyer, act of terrorism, embargo or other governmental act, regulation or request, fire, accident, strike, slowdown, war, riot, delay in transportation, or inability, due to Bio Threat Alert, to obtain necessary labor, materials or manufacturing facilities.   In the event of any such delay the date of delivery shall be extended for a period equal to the time lost because of the delay.    The Buyer’s exclusive remedy for other delays and for Myriad’s inability to deliver for any reason shall be termination of the affected agreement.

Property

Neither exchange, nor partial or total refund can be claimed for the software license after Customer has received and read his personal registration code.
Myriad reserves the right to invalidate and to lock at any moment the personal registration code of the Customer following an illegal distribution of this code or a default in the complete payment of the software license.
In no event will Myriad be liable for any direct or indirect consequence of the invalidation and locking of a personal registration code following  a default in payment or an illicit distribution of the personal code.

Warranty  

Myriad's standard warranty applies. Myriad makes no warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, with respect to the products sold herein.
In particular, because of the wide diversity of hardware and software configurations, Myriad cannot guarantee that their software programs run properly on any computer.

Disputes

 All disputes under any contract concerning the goods not otherwise resolved between Myriad and the Customer shall be resolved in a court of competent jurisdiction in the locality of Myriad’s place of business, i.e. Toulouse, France, and in no other place.
The Customer agrees to appear in any such action and hereby consents to the jurisdiction of such court. No action, regardless of form arising out of or in any way connected with the product furnished, or services rendered by Myriad may be brought by the Customer, more than one (1) year after the cause of action has accrued.
